Terms of Use

Version 1.1

Effective Date: September 25, 2026

WELCOME TO TEMPORAL! STUDIO 308 LLC ("COMPANY" OR "WE") OPERATES THE TEMPORAL SERIES OF APPLICATION (EACH, AN "APPLICATION"), RELATED WEBSITES OF THE COMPANY, ITS AFFILIATES OR AGENTS WITH LINKS TO THIS TERMS OF USE (COLLECTIVELY, THE "WEBSITE") AND ANY RELATED SERVICES AND RESOURCES AVAILABLE OR ENABLED VIA THE WEBSITE OR APPLICATION (EACH A "SERVICE" AND COLLECTIVELY, THE "SERVICES"). PLEASE READ THIS TERMS OF USE AGREEMENT (THE "TERMS OF USE") CAREFULLY. BY ACCESSING OR USING THIS WEBSITE, SERVICES OR APPLICATION, CLICKING ON THE "I ACCEPT" BUTTON, COMPLETING THE REGISTRATION PROCESS, AND/OR BROWSING THE WEBSITE, OR DOWNLOADING THE APPLICATION, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS OF USE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH THE COMPANY, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THE TERMS OF USE PERSONALLY OR ON BEHALF OF THE COMPANY YOU HAVE NAMED AS THE USER, AND TO BIND THAT COMPANY TO THE TERMS OF USE. THE TERM "YOU" REFERS TO THE INDIVIDUAL OR LEGAL ENTITY, AS APPLICABLE, IDENTIFIED AS THE USER WHEN YOU REGISTERED ON THE WEBSITE. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS OF USE, YOU MAY NOT ACCESS OR USE THIS WEBSITE OR THE SERVICES.

DURING THE FOUNDING MEMBER LAUNCH WINDOW, THE COMPANY MAY PROVIDE ACCESS TO THE SERVICES WITHOUT CHARGE. PAID SUBSCRIPTIONS MAY BE OFFERED WHEN THAT LAUNCH PERIOD ENDS. FOUNDING MEMBER ACCESS ALONE DOES NOT CREATE A PAID, AUTO-RENEWING SUBSCRIPTION. IF AND WHEN YOU SUBSCRIBE TO A PAID PLAN FOR A TERM (THE "INITIAL TERM"), THEN THAT PAID SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION AS THE INITIAL TERM AT COMPANY'S THEN-CURRENT FEE FOR SUCH SERVICES UNLESS YOU CANCEL YOUR SUBSCRIPTION IN ACCORDANCE WITH SECTION 9.6 BELOW.

THE TERMS OF USE REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE. PLEASE REVIEW SECTION 12 FOR THE FULL DISPUTE RESOLUTION TERMS.

Your use of, and participation in, certain Services may be subject to additional terms ("Supplemental Terms") and such Supplemental Terms will either be listed in the Terms of Use or will be presented to you for your acceptance when you sign up to use the supplemental Service. If the Terms of Use are inconsistent with the Supplemental Terms, the Supplemental Terms shall control with respect to such Service. The Terms of Use and any applicable Supplemental Terms are referred to herein as the "Terms."

Company knows that your privacy is important. For this reason, we have created a Privacy Policy that describes our collection, use and disclosure practices regarding any personal information that you provide to us. How long we keep information is described in the Privacy Policy, not in these Terms. The security of your personal information is important to us. While there is no such thing as "perfect security" on the Internet, we will take reasonable steps to help protect the safety of your personal information. However, you understand and agree that such steps do not guarantee that the Website is invulnerable to all security breaches or immune from viruses, security threats or other vulnerabilities. We reserve the right to cooperate with local, state, provincial and national authorities in investigations of improper or unlawful activities and this may require the disclosure of your personal information.

PLEASE NOTE THAT The Terms are subject to change by THE Company in its sole discretion at any time. When changes are made, the Company will make a new copy of the Terms of Use available at the Website and within the Application and any new Supplemental Terms will be made available from within, or through, the affected Service on the Website or within the Application. We will also update the "Last Updated" date at the top of the Terms of Use. The Company may require you to provide consent to the updated Terms in a specified manner before further use of the Website, the Application and/ or the Services is permitted. If you do not agree to any change(s) after receiving a notice of such change(s), you shall stop using the Website, the Application and/or the Services. Otherwise, your continued use of the Website, the Application and/or Services constitutes your acceptance of such change(s). PLEASE REGULARLY CHECK THE WEBSITE TO VIEW THE THEN-CURRENT TERMS.

1. Background

We offer you a platform to record your information and memories. You'll need to download our Application and become a Registered User to start using the service, and then you can start using the features. During our Founding Member launch window, we may make full access available without charge. Later, paid subscriptions may be offered, and certain features and functions may depend on the access or subscription you have. Please remember that the following Terms of Use can feel like a legal document because it is a legal document. If you're going to invest time in using our Services we recommend you read it thoroughly, because we want you to gain comfort and confidence in the agreement.

2. Use of the Services and Company Properties

The Application, the Software, the Website, the Services, and the information and content available on the Website and in the Application and the Services (as these terms are defined below) (collectively, the "Company Properties") are protected by copyright laws throughout the world. Subject to the Terms, the Company grants you a limited license to reproduce portions of the Company Properties for the sole purpose of using the Services for your personal or internal business purposes. Unless otherwise specified by the Company in a separate license, your right to use any Company Properties is subject to the Terms.

3. Application License

Subject to your compliance with the Terms, the Company grants you a limited non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and use a copy of the Application on a single mobile device or computer that you own or control and to run such copy of the Application solely for your own personal or internal business purposes. Furthermore, with respect to any Application accessed through or downloaded from the Apple App Store (an "App Store Sourced Application"), you will only use the App Store Sourced Application (i) on an Apple-branded product that runs the iOS (Apple's proprietary operating system) and (ii) as permitted by the "Usage Rules" set forth in the Apple App Store Terms of Service.

4. Company Software

Use of any software and associated documentation, other than the Application, that is made available via the Website or the Services ("Software") is governed by the terms of the license agreement that accompanies or is included with the Software, or by the license agreement expressly stated on the Website page(s) accompanying the Software. These license terms may be posted with the Software downloads or at the Website page where the Software can be accessed. You shall not use, download or install any Software that is accompanied by or includes a license agreement unless you agree to the terms of such license agreement. At no time will the Company provide you with any tangible copy of our Software. The Company shall deliver access to the Software via electronic transfer or download and shall not use or deliver any tangible media in connection with the (a) delivery, installation, updating or problem resolution of any Software (including any new releases); or (b) delivery, correction or updating of documentation.

5. Updates

You understand that the Company Properties are evolving. As a result, the Company may require you to accept updates to the Company Properties that you have installed on your computer or mobile device. You acknowledge and agree that the Company may update the Company Properties with or without notifying you. You may need to update third-party software from time to time in order to use the Company Properties.

6. Certain Restrictions

The rights granted to you in the Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Company Properties or any portion thereof; (b) you shall not frame or utilize framing techniques to enclose any trademark, logo, or other Company Properties (including images, text, page layout or form); (c) you shall not use any metatags or other "hidden text" using the Company's name or trademarks; (d) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Company Properties except to the extent the foregoing restrictions are expressly prohibited by applicable law; (e) you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to "scrape" or download data from any web pages contained in the Website; (f) you shall not access the Company Properties in order to build a similar or competitive website, application or service; (g) except as expressly stated herein, no part of the Company Properties may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; and (h) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in the Company Properties. Any future release, update or other addition to the Company Properties shall be subject to the Terms. The Company, its suppliers and service providers reserve all rights not granted in the Terms. Any unauthorized use of the Company Properties terminates the licenses granted by the Company pursuant to the Terms.

7. Privacy

Your use of the Services is also subject to our Privacy Policy. That policy describes how we collect, use, and share information, including how long we keep information.

8. Acceptable Use Policy

Welcome to the Temporal Acceptable Use Policy, which describes the guidelines applicable to your use of the services provided for the Temporal mobile application, website and related services ("Services"). You are responsible for ensuring that your use of the Services, including any content that you provide, upload, or otherwise make available to the Services ("Your Content"), complies with these guidelines.

You will not use, or permit or encourage others to use, the Services for any illegal, harmful, or offensive use or to transmit, store, display, distribute or otherwise make available User Content that is illegal, harmful, or offensive. Examples of prohibited use or content include:

Illegal Activities

Any activities that violate applicable law, rule, or regulation, including advertising, transmitting, or making available gambling sites or services or distributing, uploading, downloading, enabling, or promoting child pornography.

Harmful or Fraudulent Activities

Activities that may be harmful to others or our operations, business, or reputation, including offering fraudulent goods, services, schemes, or promotions (e.g., make-money-fast schemes, ponzi and pyramid schemes, phishing, or pharming), or engaging in other deceptive practices.

Infringing Content

Content that may infringe, misappropriate, or violate the rights of any third party, such as, but not limited to, copyrights, trademarks, and rights of privacy or publicity.

Offensive Content

Obscene, vulgar, or offensive content; defamatory content; content that harasses, threatens, or abuses other persons or groups; sexual content or nudity involving persons under the age of 18; and content depicting non-consensual sex acts.

Harmful Content

Content or technology that may damage, interfere with, intercept, or expropriate any data, information, program, or systems, including viruses, malware, Trojan horses, worms, time bombs, corrupted files, or cancelbots.

Fraud or Impersonation

Impersonate any person or entity, including, but not limited to, the Company personnel, or falsely state or otherwise misrepresent your affiliation with a person or entity.

9. Fees, Founding Member Access, Subscriptions, and Cancellation

9.1 Founding Member launch period

The Company currently offers a Founding Member launch window during which you may enjoy full access to the Services without charge. Founding Member access is promotional, may be changed or ended, and does not, by itself, start a paid subscription or an automatic renewal.

9.2 Paid subscriptions may be offered later

When the launch period ends, the Company may offer paid subscriptions or other paid plans. If we do, we will describe the applicable fees, term, and features before you purchase. You are not required to start a paid subscription to keep using Founding Member access during the launch window.

9.3 Fees

If you purchase a paid subscription or other paid Service, you agree to pay the fees presented to you at checkout, plus any applicable taxes. Fees may be billed through the Website, the Application, or a third-party app store or payment processor. Unless we say otherwise at checkout, fees are stated in U.S. dollars.

9.4 Payment

You authorize the Company and its payment processors to charge the payment method you provide for the fees you owe. You are responsible for keeping your payment information current. If a charge fails, we may retry the charge, suspend paid features, or terminate the paid subscription. Purchases made through an app store are also subject to that store's payment terms.

9.5 Changes to fees

The Company may change its fees. For a paid subscription that automatically renews, we will provide notice of a fee change as required by applicable law. If you do not agree to the new fee, you may cancel before the change takes effect as described in Section 9.6.

9.6 Automatic renewal and cancellation

If and when you subscribe to a paid plan for an Initial Term, that paid subscription will automatically renew for additional periods of the same duration at the Company's then-current fee, unless you cancel before the renewal date. You may cancel a paid subscription at any time through the account, subscription, or store controls we or the applicable app store provide, or by contacting us as described in Section 16. Cancellation stops the next renewal; it does not usually refund the current term except where required by law or by the app store's rules. After you cancel, you may continue to use paid features until the end of the then-current paid term. Ending Founding Member access, or choosing not to buy a paid plan when subscriptions are later offered, is not a cancellation of a paid auto-renewing subscription because no such subscription exists until you subscribe.

10. Disclaimer of Warranties

THE COMPANY PROPERTIES AND ALL INFORMATION, CONTENT, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS SUPPLIERS AND LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. THE COMPANY DOES NOT WARRANT THAT THE COMPANY PROPERTIES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE COMPANY PROPERTIES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE COMPANY PROPERTIES AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE COMPANY PROPERTIES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE TERMS OR THE COMPANY PROPERTIES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50). THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY DESCRIBED ABOVE, SO SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

12.1 Informal resolution

If you have a dispute with the Company, you agree to contact us first at legal@betemporal.com and try to resolve it informally. If we cannot resolve the dispute within thirty (30) days after we receive your complete written notice, either party may start arbitration as described below.

12.2 Binding arbitration

Except for the matters in Section 12.4, you and the Company agree that any dispute, claim, or controversy arising out of or relating to the Terms or the Company Properties will be resolved by binding arbitration on an individual basis, rather than in court. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The AAA Rules are available at https://www.adr.org. The arbitration may be conducted by telephone, video, based on written submissions, or in person in the county where you reside, or another mutually agreed location. The arbitrator may award the same individual relief a court could award. The arbitrator's decision is final and binding, except as provided by applicable law.

12.3 Class action waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

12.4 Exceptions

Either party may bring an individual action in small claims court if the claim qualifies. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights. If the class action waiver is found unenforceable as to a particular claim, that claim must be brought in court and not in arbitration.

12.5 Jury trial waiver

TO THE EXTENT A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND THE COMPANY WAIVE ANY RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

13. Governing Law and Venue

The Terms and any dispute arising out of or relating to them or the Company Properties are governed by the laws of the State of California, without regard to its conflict of laws rules, and by applicable United States federal law. Subject to Section 12, you and the Company agree to the exclusive jurisdiction of the state and federal courts located in California for any dispute that is not subject to arbitration.

14. Termination and Survival

These Terms remain in effect while you use the Company Properties. You may stop using the Services at any time. The Company may suspend or terminate your access if you violate the Terms, if we discontinue the Services, or as otherwise permitted by law. Upon termination, the licenses granted to you end. Any fees you already owe remain payable. Sections that by their nature should survive (including Sections 6, 7, 8, 9 through 13, 15, and 16) will survive termination.

15. Changes to Terms

Although most changes are likely to be minor, Studio 308 LLC may change its Terms of Use from time to time. Studio 308 LLC encourages visitors to frequently check this page for any changes to its Terms of Use. We will post any revised version of the Terms of Use on this page, and, in some cases, we may provide additional notice (like adding a statement to our homepage or sending you a notification through email or the app). Your further use of the Services after a change to our Terms of Use will be subject to the updated terms.
